These Terms and Conditions govern your use of services provided by Roba o Jetse Interactive (Pty) Ltd, trading as RoJ Interactive ("Company"). By subscribing to our services, you agree to these Terms.

1. Definitions

For the purposes of these Terms and Conditions:

  • Company: Roba o Jetse Interactive (Pty) Ltd trading as RoJ Interactive
  • Client: Any natural or juristic person subscribing to the Company's services
  • Registered Company / Entity: A juristic person registered with CIPC, identified by a unique registration number
  • Subscription: The monthly compliance support service charged at R99 per month, or R990 per year (two months free for annual subscription), including VAT
  • Compliance Service: Preparation and submission of statutory compliance documents to CIPC
  • Billing Cycle: A calendar month (or annual, if paying yearly)
  • Uninterrupted Subscription: A Subscription that remains active, fully paid, and without cancellation, suspension, pause, or failed payment

2. Nature of the Subscription Service

  • The Subscription provides ongoing access to:
    • Compliance monitoring
    • Administrative readiness
    • Availability of Compliance Services
  • The Subscription does not constitute prepayment, savings, credit, or a deposit for future compliance work.
  • Compliance Services are rendered only while the Subscription is active and fully paid.
  • Each Subscription applies to one (1) Registered Company only and may not be shared, transferred, or applied across multiple companies.

3. Subscription Fees and Payment

  • Subscription fees are R99 per month, payable monthly in advance, or R990 per year, payable annually in advance (two months free for annual payment), including VAT.
  • Fees are payable regardless of whether a Compliance Service is performed in a particular month or year.
  • Failure to keep the Subscription up to date may result in suspension or termination of services.

4. One Subscription Per Company

  • Each Registered Company requires its own active Subscription.
  • A Client who owns or controls multiple Registered Companies must maintain a separate Subscription for each company in order to receive Compliance Services.
  • The Company reserves the right to refuse, suspend, or cancel duplicate Subscriptions relating to the same Registered Company.

5. Qualification Period and Continuous Subscription Requirement

  • Clients must maintain a minimum of three (3) consecutive monthly Subscription payments, or the equivalent of three months in an annual Subscription, before becoming eligible for Compliance Services.
  • Eligibility is based on an uninterrupted Subscription.
  • Any cancellation, suspension, pause, or failed payment will reset the qualification period.
  • Qualification does not guarantee performance of Compliance Services unless the Subscription remains active and fully paid at the time the service is due.

6. Compliance Services

Compliance Services are performed only when due and only if:

  • The Registered Company has met the qualification period;
  • The Subscription for that Registered Company is active and fully paid at the time the compliance becomes due; and
  • The Subscription has remained uninterrupted since the qualification start date.

The Company will not perform Compliance Services for Registered Companies whose Subscriptions are cancelled, suspended, or in arrears.

Once a Compliance Service is completed and submitted, it is non-refundable.

7. Annual Service Limitation

  • A Compliance Service may only be rendered once per Registered Company per compliance cycle (typically once per twelve (12) months).
  • Eligibility does not roll over or accumulate for multiple services.

8. Cooling-Off Period (14 Days)

  • In accordance with the Consumer Protection Act, the Client is entitled to a fourteen (14) day cooling-off period from the date of initial Subscription.
  • During the cooling-off period, the Client may cancel the Subscription without providing any reason and will be entitled to a full refund of all Subscription fees paid.
  • To exercise the cooling-off right, the Client must notify the Company in writing within the 14-day period.
  • Upon cancellation during the cooling-off period:
    • The Subscription will be terminated immediately
    • Any access to Compliance Services will cease
    • No qualification period, eligibility, or future rights will accrue

9. Cancellation (After Cooling-Off Period)

  • After the expiry of the cooling-off period, Clients may cancel the Subscription at any time by providing written notice.
  • Cancellation takes effect at the end of the current Billing Cycle (or annual period).
  • Upon cancellation:
    • Future billing will cease
    • Access to Compliance Services will terminate
    • Any accumulated qualification or eligibility will lapse immediately
    • The Company is under no obligation to perform future Compliance Services

10. Refund Policy

  • Except for the cooling-off period described in Clause 8, Subscription fees already paid are non-refundable.
  • No refunds will be issued for:
    • Periods during which the Subscription was active beyond the cooling-off period
    • Compliance Services already rendered
    • Future compliance services for which the Subscription is no longer active

11. Consumer Protection Act Compliance

These Terms comply with the Consumer Protection Act, 68 of 2008. Nothing in these Terms limits any rights the Client may have under applicable law.

12. Limitation of Liability

The Company shall not be liable for compliance penalties arising from:

  • Late Subscription payments
  • Cancellation or interruption of the Subscription
  • Failure by the Client to maintain an active and uninterrupted Subscription

13. General

  • These Terms constitute the entire agreement between the parties.
  • No variation shall be valid unless reduced to writing.
  • These Terms are governed by the laws of the Republic of South Africa.
